These terms and conditions of business are between Masterskills Ltd and the Client Company.

All and any business undertaken by Masterskills is transacted subject to the conditions hereinafter set out, each of which shall be incorporated in any agreement between the Company and its Clients.

The terms and conditions of business as set out apply, unless specifically varied by Masterskills in writing.

The Client will notify Masterskills immediately after an appointment has been made. All conditions are introduced on the basis that if an appointment of a candidate is made within twelve months following the initial introduction, or any subsequent reintroduction, this will constitute an agreement between Masterskills and the Client following the terms and conditions of business as set out.

An introduction shall be deemed to have taken place when any employee of the Client organisation or their representatives request contact with the said candidate.

The Client will provide Masterskills with a written copy of any job offer made to a candidate introduced by Masterskills.

Introductions are strictly confidential. If a Client passes on details of a candidate, introduced by Masterskills to a third party resulting in a placement, the Client is liable to pay the full fee.Introductions are strictly confidential. Masterskills fee is based on the first years' salary, which will include all guaranteed income, bonuses and shift allowance. The Client is obliged to advise Masterskills of the total remuneration offered to the candidate immediately an offer has been made.

All invoices are payable within fourteen days of the date of the invoice. If payment is not made within fourteen days the Client will be required to pay interest on the amount due at 2% above National Westminster Bank PLC base rate.

If any legal costs are incurred as a result of non-payment of invoices or late payment after fourteen days, the Client will become liable to pay them.

If employment of a candidate is terminated within ten working weeks of the commencement date, this is inclusive of the notice period, a rebate will be paid to the Client at a rate of 10% of the recruitment fee for each full week not worked. No rebate will be payable if:
(a) An offer is withdrawn for any reason not specific to condition(s) stated in the written offer of employment
(b) Masterskills is not notified in writing of the circumstances of termination within fourteen days of the termination date.
(c) The fee is not paid within fourteen days of the date of commencement of employment.
(d) The cause of termination has no bearing on the candidate, ability or integrity of character.
(e) The candidate is made redundant.
Masterskills endeavours to make every reasonable effort to ensure the suitability of the candidate selected on behalf of the Client, but does not personally guarantee the authenticity of references and cannot take any responsibility for any loss, expense, damage or delay however occasioned. The Client is responsible for taking up references concerning a candidate s skills, qualifications, general integrity, obtaining work permits and satisfying medical requirements or qualifications as required by law.
