CLIENT CONTROL
For the duration of this assignment the Contractor will work under the direction, supervision and control of the client. The client will provide adequate supervision, define standards and be responsible for testing of the Contractor. Masterskills will have no responsibility for errors or consequential loss as a result of this assignment. The client will undertake to provide adequate facilities and assistance to enable the Contractor to perform the assignment.

TIMESHEETS AND PAYMENT
The Contractor will complete a timesheet, recording hours worked which should be signed and approved by an authorised manager of the client. Acceptance and signature for hours worked will render the client liable for fees invoiced in accordance with this agreement Masterskills will send invoices to the client weekly and in arrears and payment must be received within 14 days of the invoice date.

VAT
Fees quoted exclude Value Added Tax which will be charged on invoices at the rate in force at the time of supply.

EXPENSES
Any expenses incurred by the Contractor away from the specific location will be reimbursed to the Contractor.

COVENANT
The client or its subsidiaries or employees will not engage the services of the Contractor either directly or indirectly except through Masterskills, for a period of six months from the termination of the assignment. Should this occur Masterskills have the right to levy a placement fee equivalent to 20% of an annualised salary.

REPLACEMENT
If for any reason the Contractor is unsatisfactory to the client, Masterskills will have the right to provide a replacement with qualifications and experience similar to the Contractor.

FULL TIME EMPLOYMENT
In the event that the client offers permanent employment to a Contractor employed on a contract basis, Masterskills will charge the client a fee of 20% of the first years salary. For candidates recruited on a contract to permanent basis, the fee charged will be as per Permanent Conditions clause 4 (See overleaf).

CONFIDENTIALITY
Masterskills undertakes not to disclose to a third party any information of the client received during the assignment. Masterskills will also use its best endeavours to ensure that the Contractor accepts a similar obligation.

ABSENCE AND HOLIDAYS
Holidays will be agreed in advance between Masterskills and the client. Any other absences will he notified by the Contractor as soon as is reasonably practical.

DISCIPLINE
The Contractor will be instructed to observe all the disciplinary rules and regulations of the client. Should a serious breach occur, Masterskills will terminate the services of the Contractor and offer a replacement to the client.

TERMINATION
If either party fails to comply with any of the terms and conditions of this agreement the other party must request in writing that the breach is remedied. Failure to remedy the breach will give the other party the right to terminate the contract The agreement may be terminated if the client fails to comply with the terms of payment. The contract will be terminated if the client goes into liquidation, ceases trading or appoints a receiver.

INDEMNITY
The client will indemnify Masterskills from any claims arising from personal loss or injury of the Contractor whilst working for the client on the clients premises.
